1. Agreement to these Terms
These Terms of Service govern your access to Matrix Debate’s website, remote MCP, agent skills and tools, evidence-card processing, file delivery, accounts, subscriptions, credits, Teams features, and related services (collectively, the “Service”). Matrix Debate (“Matrix,” “we,” “us,” or “our”) is operated by Matrix Debate in the United States. By creating an account, authorizing an agent, purchasing or using the Service, or joining a Team, you agree to these Terms and the Privacy Policy.
2. Eligibility and minors
You must be at least 13 years old and legally permitted to use the Service in the United States. If you are under the age of legal majority where you live, you may use Matrix only with the consent and supervision required from a parent or legal guardian.
A coach, school representative, or other Teams purchaser represents that they are authorized to purchase access, invite each student, and obtain any required student, parent, guardian, school, or organizational consent. Matrix is not directed to children under 13, and under-13 accounts are prohibited.
3. Accounts and account security
You must provide accurate account information, maintain a verified email address, protect your password and connected identity-provider accounts, and promptly notify us of unauthorized access. You are responsible for activity performed through your account and authorized MCP clients.
Do not share personal login credentials or payment-card data with an agent. Team owners may share a team join code with intended members, but may not sell, publish, or transfer the code outside the purchased Team.
4. The Service and artificial intelligence
Matrix is an agent-first debate preparation service. Your host agent determines strategy, research direction, analysis, and workflow; Matrix specializes in source-faithful evidence-card generation, configuration, memory, and document rendering.
Artificial-intelligence output can be incomplete, inaccurate, unavailable, or unsuitable for a particular tournament or purpose. You must review every citation, source, card, emphasis choice, and generated file against the original public source and applicable competition rules before use. Matrix output is not legal, medical, financial, academic-integrity, or professional advice.
5. Acceptable use
You may not use or attempt to use the Service to:
- violate law, tournament rules, intellectual-property rights, or privacy rights;
- access paywalled, private, restricted, or credential-protected material without permission;
- submit passwords, session cookies, access tokens, or payment credentials as source content;
- misrepresent fabricated or materially altered language as a source quotation;
- harass, threaten, exploit, or facilitate harm to another person;
- probe, bypass, or interfere with authentication, quotas, billing, security, or infrastructure;
- resell personal access, share accounts, automate account creation, or evade usage limits;
- reverse engineer private model weights, prompts, routing, credentials, or nonpublic system internals;
- introduce malware, denial-of-service traffic, or abusive scraping; or
- use Matrix where such use is prohibited by sanctions or export-control laws.
6. User content and limited license
You retain rights you have in prompts, source references, instructions, files, debate preferences, and other material you submit (“User Content”). You grant Matrix a limited, nonexclusive license to host, reproduce, process, transmit, and format User Content only as reasonably needed to operate, secure, support, and improve the Service and comply with law.
You represent that you have the rights and permissions necessary to submit User Content. Do not submit confidential, privileged, personally sensitive, or competition-restricted information unless you understand the processing described in the Privacy Policy.
7. Sources, copyright, and third-party services
Public sources, publisher websites, OpenCaselist, agent hosts, identity providers, and other integrations are independent third parties. Their terms and availability apply separately. Matrix does not grant you rights to reproduce or distribute third-party content beyond rights supplied by law or the source owner.
Matrix may refuse a source that is unreadable, restricted, unsafe, or incompatible with source-faithful evidence. You are responsible for attribution, fair use, licensing, and compliance with publisher and competition rules.
8. Matrix intellectual property
The Service, brand, software, models, skills, interfaces, designs, documentation, and nonpublic technology are owned by Matrix or its licensors and protected by applicable laws. Subject to these Terms, Matrix grants you a limited, revocable, nonexclusive, nontransferable right to use the Service for personal, educational, team, or organizational debate preparation.
9. Membership plans and usage allowances
Pro includes 300 successful cards per rolling 168-hour window and two concurrent active card jobs. Ultra includes 500 successful cards per window total and five concurrent jobs. Each paid Teams usage seat receives 300 successful cards per window and two concurrent jobs. Basic includes no free cards.
A rolling window begins when Matrix accepts the first qualifying plan-funded card request. Failed jobs release reserved usage but do not move that window’s original start. Allowances do not stack, cannot be transferred, have no cash value, and are not carried into a later window. Plan changes and Team membership changes do not restart the current window.
10. Usage credits
Credits support pay-as-you-go cards at $0.09 for each successfully completed credit-funded card. Manual purchases range from $10 to $500. Failed work releases its credit reservation. Credits are used automatically after available plan usage is exhausted.
Matrix will not use credits merely to bypass a Pro or Teams concurrency limit unless the individual request explicitly authorizes paid overflow. Credits are nontransferable, have no cash value, and do not expire while the account remains open, subject to refunds, disputes, account closure, fraud prevention, and law.
11. Auto top-up authorization
If you enable auto top-up, you authorize Matrix and Stripe to charge the saved payment method when your available credit balance falls below the trigger you choose and to restore it toward your selected target. Each charge is at least $10 and at most $500.
You may disable or change auto top-up from the dashboard. Disabling prevents unstarted attempts but may not cancel a charge already submitted. A decline, additional-authentication requirement, or missing payment method pauses auto top-up.
12. Payments, taxes, and authorization
Prices are stated in U.S. dollars before applicable tax. You authorize recurring monthly charges for subscriptions and quantity-based Teams seats until cancellation becomes effective. Stripe processes payment details; Matrix does not store your full card number.
You are responsible for accurate billing information and applicable taxes. Matrix grants plans, credits, and Team access only after Stripe’s signed payment state is confirmed. A browser confirmation page alone is not proof of payment.
13. Plan changes and cancellation
Upgrades and Teams seat additions are effective immediately and may be prorated. Downgrades, cancellations, and seat reductions normally take effect at the end of the current paid period. Teams may not be reduced below five student seats or current occupancy.
Cancel from the dashboard before renewal to avoid the next recurring charge. Removing the app, revoking an agent, leaving a Team, or not using the Service does not by itself cancel a subscription. Payment failure may suspend included usage; available credits may remain usable.
14. Refunds, disputes, and chargebacks
Except where law requires otherwise or Matrix expressly agrees, subscription charges and used credits are nonrefundable. Contact support@matrixdebate.com or 1240 Stratford Rd., Kansas City, MO promptly if you believe a charge is incorrect. Approved refunds, disputes, reversals, and chargebacks may remove the corresponding entitlement or unused credit through a separate ledger correction.
Fraudulent disputes, abuse of chargebacks, or use of refunded value may result in account restriction. Nothing in this section limits nonwaivable consumer rights.
15. Service communications
You agree to receive transactional messages necessary for verification, security, billing, Teams administration, changes to the Service, and support. You may opt out of optional promotional email, but not essential account or legal communications while your account remains active.
16. Feedback
If you voluntarily provide ideas or feedback, you grant Matrix a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation, provided Matrix does not publicly identify you without permission.
17. Availability, changes, and beta features
Matrix may change models, compatible agents, features, limits, documentation, or infrastructure; perform maintenance; or discontinue a feature. We will provide reasonable notice of material changes when practicable. Beta or experimental features may be less reliable and may be withdrawn.
18. Suspension and termination
Matrix may restrict or terminate access to protect users, sources, payment systems, infrastructure, or legal compliance; investigate fraud or abuse; respond to a valid legal request; or enforce these Terms. Where appropriate, we will provide notice and an opportunity to cure.
You may stop using Matrix and request account deletion. Subscription cancellation and retained records are governed by Sections 13 and 14 and the Privacy Policy. Provisions that by nature should survive termination will survive.
19. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MATRIX DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. MATRIX DOES NOT WARRANT THAT AN OUTPUT IS TRUE, COMPLETE, SOURCE-COMPLIANT, TOURNAMENT-LEGAL, OR SUITABLE FOR YOUR PURPOSE.
20. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATRIX AND ITS SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITY; OR RELIANCE ON AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY.
MATRIX’S AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID MATRIX DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.
21. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold Matrix harmless from third-party claims, losses, and reasonable expenses arising from your unlawful use, User Content, infringement, misrepresentation of evidence, violation of these Terms, or violation of another person’s rights. This obligation does not apply to the extent a claim results from Matrix’s own unlawful conduct.
22. Mandatory individual arbitration and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. Except for eligible small-claims matters and requests for temporary injunctive relief concerning unauthorized access or intellectual property, disputes arising from these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial rules.
Before filing, the claimant must send a written notice describing the dispute and requested relief to support@matrixdebate.com or 1240 Stratford Rd., Kansas City, MO and allow 30 days for informal resolution. Arbitration will be individual only. YOU AND MATRIX WAIVE JURY TRIAL AND PARTICIPATION IN CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTIONS to the extent permitted by law. If a court finds part of this waiver unenforceable for a particular claim, that claim will proceed in court after the remaining arbitrable claims.
23. Governing law
Illinois law governs these Terms without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 22. For claims properly proceeding in court, you consent to the state and federal courts located in Illinois, subject to nonwaivable consumer-law rights.
24. Changes to these Terms
Matrix may revise these Terms. We will post the updated version and effective date and provide additional notice or require renewed acceptance when a change is material. Continued use after the effective date constitutes acceptance where permitted by law.
25. General terms and contact
These Terms and incorporated policies are the complete agreement about the Service. If one provision is unenforceable, the remaining provisions remain effective. A waiver must be explicit and does not waive later enforcement. You may not assign these Terms without consent; Matrix may assign them in connection with a reorganization or transfer of the Service.
